Terms and conditions

These are the terms that apply when we work for you. We keep them short and clear. So you know where you stand before we start.

1. Who we are

In these terms, the client is the party that gives us the work.

2. What these terms apply to

These terms apply to every quotation, every assignment and every agreement between DCS and the client. They also apply to follow-up assignments.

Other terms only apply if we have accepted them in writing beforehand. We hereby reject any purchasing terms used by the client.

3. Quotation and price

A quotation is valid for 30 days, unless it states otherwise. Prices exclude VAT, unless we state otherwise.

A quotation is based on the situation as we saw it during the survey. If the work on site clearly differs from that, we discuss it with you first. We only continue once you agree.

We only carry out extra work after your approval. We invoice it separately.

4. What you arrange

We need access to the building at the agreed time. We also need water and electricity. You provide these free of charge at the work location.

Make sure the work area is safe and freely accessible. We may stop the work if it is unsafe to continue.

If we cannot work because of something on your side, we may charge for the reserved time. Think of a door that stays locked or a site that is not clear.

5. Cancelling or moving an appointment

Up to 48 hours before the agreed time you can cancel or reschedule free of charge. An email is enough.

If you cancel later than that, we may charge half of the agreed price. If you cancel while we are already on site, we charge the full reserved time.

6. How we carry out the work

We carry out the work to the best of our ability and with skilled staff. We decide which people, which materials and which method we use.

If an appointment cannot go ahead because of the weather or for safety reasons, we plan a new moment together. This applies especially to work at height and outside work.

Times we mention are a planning, not a hard deadline. If something runs late, we let you know.

7. Payment

You pay within 14 days of the invoice date. If you do not pay on time, you are in default without further notice.

From that moment we charge the statutory commercial interest rate. The extrajudicial collection costs are also for your account. We calculate these according to the Dutch statutory scale, with a minimum of 40 euros.

If payment is overdue, we may pause the work until you have paid. We let you know beforehand.

Settling against a claim of your own is not allowed, unless we agree to it in writing.

8. Not satisfied? Report it within 8 days

If something went wrong, report it within 8 days after the work was done. You can do this in writing or by email. Describe as clearly as possible what is not right.

We then get the opportunity to put it right ourselves within a reasonable period. That is almost always the fastest route.

If we hear nothing within 8 days, the work counts as approved. A complaint does not postpone your obligation to pay.

9. Liability

We are liable for damage caused by intent or gross negligence on the part of us or our staff.

Our liability is limited to the invoice amount of the assignment the damage belongs to. If our insurer pays out in that case, our liability is limited to the amount of that payout, plus the deductible.

We are not liable for consequential damage. This includes in any case business damage, loss of turnover, missed savings, damage due to downtime and damage suffered by third parties.

We are also not liable for damage to items that were already damaged, worn or defective before we started. If you point out a fragile part to us beforehand, we take that into account.

Report damage within 8 days after you discover it, and in any case within 12 months after the work was done. After that, your claim lapses.

You indemnify us against claims from third parties that arise from information or instructions you gave us.

10. Ending ongoing arrangements

If you work with a fixed round, the arrangement runs until one of us ends it.

You cancel in writing or by email, with a notice period of one calendar month. The cancellation takes effect on the first day of the following month.

Work carried out up to that date is invoiced as normal.

11. Force majeure

If we cannot work due to force majeure, our obligations are postponed for as long as the force majeure lasts. We owe you nothing in that case.

Force majeure includes in any case extreme weather, failure of the water or power supply, staff illness without replacement, failure at suppliers, fire, theft, accidents and government measures.

If the force majeure lasts longer than two months, both parties may end the agreement in writing. For work already carried out, you pay what was agreed.

12. Confidentiality

We come to places where not everyone is allowed. Everything our people see, hear or read there, stays inside.

We do not share information about your building, your organisation or your people with others. We do not take photos or recordings in your building without your written permission.

We bind our staff to the same confidentiality. This duty continues after the work is finished.

Would you like additional agreements, a separate non-disclosure agreement or screening of the people who come? Discuss it with us beforehand and we put it in writing.

13. Our equipment remains ours

All machines, tools and materials we bring remain our property. Even when we leave them in your building between visits.

If you use our equipment yourself, that is at your own risk. If something breaks or goes missing while it is with you, we may charge the costs.

Items we supply to you remain ours until you have paid in full.

14. Dutch law and the court in The Hague

Dutch law applies to all our quotations and agreements.

If we cannot work it out together, we submit the dispute to the competent court in The Hague. We always try to resolve it between us first.

15. Other provisions

If a provision in these terms is invalid, the other provisions remain in force. We then replace that provision with a valid arrangement that comes as close to it as possible.

We may amend these terms. For a current assignment, the version you received when you agreed applies.
